1. General Terms and Conditions of Sale

1.1. Use of the Website

The website is designed to assist Users in searching for travel and tourism-related services and making appropriate reservations. Users can only make reservations through the Website after accepting these General Terms and Conditions of Sale. A reservation confirmation is automatically sent to the User by email. The User is provided with a client space specific to their order. The reservation confirmation will be available as a downloadable and printable electronic file in their client space within a maximum of two days from the order date.

NOEGuadeloupe

The activity services offered by NoéGuadeloupe Agency on behalf of its Partners are governed by these General Terms and the Specific Conditions of the relevant NoéGuadeloupe Partners, which must be accepted before placing an order. These services are contractually linked to the NoéGuadeloupe agency through one or more contracts.

2.1. Duration of the Service

If the Client does not present themselves to finalize their reservation with the "Noéguadeloupe" provider and plans to register for other reservation dates, the Client must confirm the changes to their reservation with NoéGuadeloupe Agency no later than the initial validation date to avoid cancellation of the entire reservation. If the Client does not confirm the changes to their reservation with NoéGuadeloupe Agency, the entire reservation may be canceled, and any refunds will be made in accordance with the Specific Conditions of the relevant Partner, as specified during the reservation process.

Any Client who does not cancel or modify their reservation before the end of the cancellation period specified by the relevant partner (usually between 24 and 72 hours) before the arrival date will be subject to the fees listed in the Specific Conditions applicable to the reservation of that hotel. Users are reminded that some hotels do not allow modifications or cancellations once a reservation is made, and these restrictions are displayed in the Specific Conditions applicable to the reservation of that hotel.

2.2. Classification

The quality level assigned to the services listed in the description available on the Website corresponds to a classification based on local standards in Guadeloupe, which may differ from French standards. It is provided for informational purposes only.

Acting on behalf of and for its Partners, NoéGuadeloupe Agency may be required to substitute the initially reserved service with another of the same or equivalent category due to force majeure or technical reasons related to force majeure or third-party actions affecting your safety or the quality of the service offered. However, you have the option to refuse such a modification under the conditions provided by the Tourism Code.

It may sometimes happen that, for technical reasons (e.g., overbooking of the NoéGuadeloupe Bus Tour due to connectivity issues with the provider), force majeure (e.g., the provider is closed due to a cyclone), or third-party actions (e.g., a reserved service is unavailable due to site maintenance), a service reservation is canceled or modified. In such cases, acting on behalf of and for its Partners, NoéGuadeloupe Agency will make every reasonable effort to inform the User as soon as possible and, if possible, offer an alternative service of at least the same classification level and equivalent services. If the Client refuses this alternative offer, NoéGuadeloupe Agency will ensure that all amounts paid by the Client for the reservation of this service are refunded. If applicable, for example, when a technical issue caused by NoéGuadeloupe Agency results in the cancellation or modification of a reservation and directly causes a loss for the Client, NoéGuadeloupe Agency will provide reasonable compensation to the Client.

2.3. Proposed Activities

It is expressly agreed that, if applicable, the description on the Website specifies that certain activities are not necessarily available outside the tourist season or are subject to a minimum number of participants.

Certain activities offered by NoéGuadeloupe Agency's Partners and listed in the description on the Website may be canceled, particularly due to weather conditions or force majeure. This risk, beyond the control of NoéGuadeloupe Agency and its Partners, is an integral part of the contract you enter into.

2.4. Photos and Illustrations

Acting on behalf of and for its Partners, NoéGuadeloupe Agency makes every effort to provide photos and illustrations that give you an overview of the services offered. These photos and illustrations are intended to indicate the category of the services concerned.

2.5. Group Reservations

You cannot book more than 8 people online for the same service and the same stay dates. If we determine that you have booked more than 8 rooms in total using different reservations, we have the right to cancel your reservations on behalf of and for our Partners and charge you cancellation fees if applicable. In the case of a non-refundable deposit payment, it will not be returned.

If you wish to book for 9 or more people, you must contact Noé Guadeloupe Agency staff by phone. One of our group travel specialists will review your request and contact you to confirm the reservation. You may be required to sign a contract and/or pay a non-refundable deposit.

These provisions apply to group reservations, whether made independently of booking another product or as part of a package.

2.6. Prices and Taxes

The financial conditions applicable to activity and transportation services are governed by Article 9 of these General Terms and Conditions.

Furthermore, we draw your attention to the fact that certain additional taxes or fees (tourist tax, accommodation tax, electricity tax, etc.) may be imposed by the authorities. They are not included in the price of the Products or Services. These additional taxes, where applicable, are your responsibility and may need to be paid locally whether your service has been prepaid or is paid directly to the provider.

Generally, and unless otherwise stated, personal or incidental expenses related to the Service, such as insurance, vaccination fees, laundry, phone, drinks, and any service not expressly included in the reservation confirmation, are not included in the prices.

2.7. Modification and Cancellation

All modification and cancellation conditions are described in the Specific Conditions, accessible directly on the Website before booking, and if applicable, mentioned on the reservation confirmation. The Client does not have an automatic right to cancel unless such a right is granted by the Partners in accordance with their Specific Conditions (made available to the Client before booking).

In case of total or partial cancellation of the reservation by the Client, the reservation fee will be required from the Client to cover implementation costs. Additionally, fees may be imposed by the relevant Partners. When cancellation affects more than one person on the reservation, any applicable cancellation fees will be imposed for each person included in the reservation. In some cases, the compensation for cancellation payable to the Partners may amount to the total value of the reserved services, and the Client will not receive any refund. Any partial cancellation of the reservation will be subject to the Specific Conditions of the relevant Partner, as notified during the booking process. Fees may be imposed by the relevant Partners in case of cancellation or modification of a reservation—please refer to the Specific Conditions notified during the booking process.

We reserve the right to cancel your reservation if full payment is not received by the specified dates in the contract.

For more details, we invite you to consult the Specific Conditions displayed during your booking process through an interactive window before finalizing your reservation. If the Client does not present themselves to the relevant or reserved provider, any refund due to the Client will be paid in accordance with the Specific Conditions of the relevant Partner, as notified to the Client during the booking process.

To modify a Client's reservation, NoéGuadeloupe Agency will normally need to cancel the initial reservation made by You and through their intermediary with the Partner, which may result in compensation payments and/or fees imposed by the Partners, up to the total value of the reserved services, and the Client will be required to pay the fees for their new reservation.

Unless more favorable terms are mentioned on the Website before booking, any modification (change of date, provider) or cancellation by the client, except in cases of force majeure and unless a more favorable agreement with the relevant Partner, will result in a fee amounting to 100% of the reservation amount, without prejudice to the application of specific handling fees for cancellation or modification, as defined above.

Furthermore, in case of a new booking following a cancellation or modification by the client, the price of the new booking may be higher than that of the first booking, and handling fees may be charged by NoéGuadeloupe Agency on this occasion, in accordance with the provisions of this article.

In case of a refund granted to the User, the amounts previously paid will be re-credited to the account corresponding to the bank card used during the booking.

In any case, in case of cancellation by the User, except in cases of force majeure, the initial handling fees charged by NoéGuadeloupe Agency and any subscribed insurance are non-refundable.

Processing fees may be charged to the User for any request made by other means, up to 20% of the refunded amount to the User. In any case, the User can only obtain a refund once, and this refund is subject to the Specific Conditions of the relevant Partner, within the limits authorized by the said Partner.

2.8. Information on Direct Online Reservation Payment and Partner Payment

Furthermore, for a simple reservation service booked by the User outside of a Package reservation, the User must "pay directly online" for the reservation and "pay the provider during your stay with the provider." If the User chooses the "pay directly online" option, the reservation amount will be immediately debited from the payment method chosen by them, in the selected currency. The User will finalize their payment during their presence with the relevant provider; the reservation amount must be paid to the establishment in the country's currency (additional commission fees on the transaction amount may be charged by the User's bank or payment provider). In addition to other taxes and fees that may be due by the User, as defined in these General Terms and Conditions, additional fees may apply depending on the payment method used by the User. Please note that some providers may require a non-refundable deposit (refer to each Partner's Specific Conditions). The amount of taxes and the exchange rate may vary between the reservation and the stay. Foreign exchange fees may also be applied by your payment card issuer. Finally, we draw your attention to the fact that if you have opted for on-site payment for your service, if this service is non-refundable and non-modifiable, you will be immediately charged at the time of booking by the provider.

2.9. Reviews

Description of the Online Review Service

The Online Review Service allows any Client who has purchased a service on the Website to submit content (reviews, ratings, texts, and/or images) (hereinafter referred to as "Content") related to the said service after the return date.

The Online Review Service is offered to the Client through a newsletter sent by NoéGuadeloupe Agency after the return date to share their experience with Site visitors.

The Content published on the Site is labeled as "Verified Reviews," meaning that NoéGuadeloupe Agency has ensured that the user made a reservation on the Site, paid for the said reservation, and actually participated in the reserved activity before posting a Review on the Site.

Use of the Online Review Service

Any visitor can read the Content posted on the Site.

To post Content on the Site, the Client, a natural person, must be at least 18 years old, legally capable of entering into contracts, and use this Site in accordance with these general terms of use.

Furthermore, the Client must have personally experienced the service and not be in a conflict of interest situation.

They must fill out the designated form.

Among the form elements to be provided, only the User's first name and city will be publicly displayed on the Site. The Content published on the Site is labeled as "Verified Reviews," meaning that NoéGuadeloupe Agency has ensured that the user made a reservation on the Site, paid for the said reservation, and actually participated in the reserved activity before posting a Review on the Site.

The provided email address must be valid and allow contacting the Client to authenticate the client and/or personally contact them to verify the authenticity of their testimony.

NoéGuadeloupe Agency must be immediately notified of any misuse, fraudulent use of the registered email address by a third party by sending an email to serviceclient@noéguadeloupe.com.

The Client can request the deletion of their contributions at any time by sending an email to serviceclient@noéguadeloupe.com. NoéGuadeloupe Agency will process such unsubscribe requests as quickly as possible.

Publishing and Moderation

Content will be posted on the Site within an average indicative timeframe of 72 hours (including moderation time). It will then be readable by any visitor or user visiting the Site.

Content will be displayed chronologically by default, from the most recent to the oldest, based on the submission date or the service experience date.

The representative of the evaluated service partner may be given a right of reply. The response will be published within a maximum of seven days from the request and will be attached to the relevant Content.

In case of a change of ownership and/or complete renovation of an establishment or a modification of substantial characteristics of the evaluated service, NoéGuadeloupe Agency will delete the corresponding Content.

Content will be moderated "a posteriori" by NoéGuadeloupe Agency.

NoéGuadeloupe Agency will make every effort to publish Content as received from clients. However, the Site's moderation allows NoéGuadeloupe Agency, at its sole discretion and without notice, to remove any Content that violates current legislation, including any Content that violates the rules described below in Article 2.

NoéGuadeloupe Agency will not, under any circumstances, verify the accuracy of the information contained in the Content provided by the Client during this moderation.

NoéGuadeloupe Agency also reserves the right to delete the account of any User who misuses the Site.

NoéGuadeloupe Agency has no obligation to publish your Content. NoéGuadeloupe Agency reserves the right, at its sole discretion, to determine which Content is published on the Site. NoéGuadeloupe Agency reserves the right to delete any unintelligible or unlawful Content (including obscene, racist, sexist, defamatory, or intellectual property rights violations, right of publicity, or privacy rights violations). You acknowledge that NoéGuadeloupe Agency may exercise its rights (e.g., use, publish, delete) on any Content you submit without notice and refuse to publish or delete (without notice) any Content, especially in cases where NoéGuadeloupe Agency receives a complaint from a third party and/or has reasons to believe that there has been a violation of these General Terms and Conditions. NoéGuadeloupe Agency may be required to remove Content to comply with applicable laws or an injunction or decision rendered by any competent court or authority.

From time to time, NoéGuadeloupe Agency may offer incentives to its users to post Content about a provider (discount vouchers for an activity/entry into a draw, etc.). It is essential for us that reviews of our partners are impartial and honest. Therefore, these incentives will be offered to users regardless of whether the Content is a positive or negative review of the provider.

If the Client submits more than one Content for the same provider, only the most recent Content will be eligible for use.

Client Obligations

The Client agrees that the Content is relevant and of an aesthetically exploitable quality, if applicable, on the Site.

Additionally, in general, the Client agrees to:

  • comply with these general terms of use;
  • provide a valid email address during registration for the Online Review Service;
  • not impersonate a third party in any way;
  • respect the intellectual property rights related to the Site and each of its components and, consequently, not represent or reproduce or exploit, in any form and by any means, any element of the Site or any Content published on the Site, which they do not own the rights to;
  • use the Site in compliance with applicable regulations;
  • post Content related to the purpose of the Site and the Service described in Article 1.1 of these general terms, specifically in the relevant category;
  • not post personal content on the Site;
  • post Content that does not:
    • deviate from the spirit of the Site, especially for political, propaganda, or proselytism purposes;
    • violate public order and morality;
    • be abusive, defamatory, threatening, racist, xenophobic, revisionist, or harm the honor or reputation of others;
    • be obscene, pornographic, or pedophilic;
    • incite discrimination, hatred of a person or group of people based on their origin, ethnicity, nation, race, or religion;
    • incite a crime, terrorism, or make an apology for crimes, terrorism, war crimes, or crimes against humanity;
    • incite suicide;
    • contain sales propositions for goods or services, advertisements, or promotions, in any way, of any website or company. Generally, Content should not be of a commercial nature.

Liability

The Client is solely responsible for the Content they post on the Site and for compliance with these general terms. Under no circumstances will NoéGuadeloupe Agency be held responsible for the Content published, nor for any errors or omissions by Clients.

NoéGuadeloupe Agency does not modify the Content and, to the extent permitted by law, will not be held liable or subject to lawsuits due to this Content or its publication, use, or subsequent dissemination. NoéGuadeloupe Agency does not verify, endorse, or approve the ideas and opinions expressed in the Content, which are personal opinions of those who submit them. All decisions made based on the Content appearing through this Online Review Service are entirely the responsibility of the Client.

In any case, NoéGuadeloupe Agency will not be held responsible for Clients' non-compliance with these general terms of use. However, if such actions are brought to its attention, NoéGuadeloupe Agency reserves the right to immediately delete, without notice, any Content that violates these general terms of use and any Client account violating them.

NoéGuadeloupe Agency will not be responsible for any direct or indirect damages resulting from the use of the Online Review Service, whatever the cause. Therefore, the Client is solely responsible for any damage resulting from any violation of the restrictions set out in this article or any other damage resulting from the publication of the Client's Content on this Site.

NoéGuadeloupe Agency will not be responsible for any alteration or fraudulent access to data and/or accidental transmission of viruses.

NoéGuadeloupe Agency also reserves the right to suspend access to the Online Review Service, particularly due to technical problems or maintenance operations.

Content

The Client guarantees they are the author of the Content, of any kind, they post on the Site.

By posting Content, the Client grants NoéGuadeloupe Agency the right to use, reproduce, change the format, translate, distribute, publish, create derivative works from this Content, and display and publicly present this Content worldwide in any media, known today or in part, these Contents on the Site, on upcoming mobile applications; and (b) use the name submitted by the Client in connection with these Contents.

This license is free, non-exclusive, and valid worldwide for the duration of copyright protection.

The Client also grants NoéGuadeloupe Agency the right to take legal action against any person or entity that violates their rights or NoéGuadeloupe Agency's rights in the Content by violating these General Terms.

The Client acknowledges having previously obtained the express consent of the individuals whose image is reproduced in the Content and the express consent of the rights holders of the reproduced items in the Content for distribution on the Site, on mobile applications and digital media of NoéGuadeloupe Agency, and on its audiovisual media, and assumes full responsibility for this distribution concerning these third parties; NoéGuadeloupe Agency will not be held responsible for any violation of image rights and intellectual property rights, whatever they may be, of said third parties.

As a result, the Client posting Content guarantees NoéGuadeloupe Agency the peaceful enjoyment of said Content and agrees to cover all costs and expenses, of any nature, charged to NoéGuadeloupe Agency in case of condemnation to any action or claim due to the Content.

If a Visitor or User of the Site notices that all or part of the Content they are the author of (or have the rights to) or a third party holds the rights, has been copied, modified, and/or misappropriated and published on the Site in violation of their rights or third-party rights, they agree to immediately notify the Site administrators by sending an email to the following address: serviceclient@noéguadeloupe.com.

This email must contain the identity and contact details of the said Visitor or User, as well as a description of the illicit content and the link to this content on the Site. Upon receipt of this email, and until the dispute is resolved, the Site administrators agree to remove the contested content from the Site.

The Client acknowledges and agrees that the Content is not confidential or proprietary.

OPENING HOURS AND PRICES:

Prices, established based on current economic conditions, as well as schedules, programs, and durations of tours are subject to change: prices include all services indicated in the description of each service.

CHILD RATES:

Child rates listed on the Site apply to children aged 3 to 11 inclusive, unless otherwise specified in the product description. Please contact us for any service concerning children under 3 years old (rates and accessibility).

APPLICABLE LAW:

The General Terms and Conditions are subject to French law. Any dispute regarding their interpretation and/or execution falls under the jurisdiction of the Pointe-à-Pitre Tribunal.
